All payments made for MedhyaShield services are final and non-refundable.
1Policy Statement
This No Refund Policy forms part of the Terms of Service governing your use of the MedhyaShield platform operated by Medhyacom Technology. By subscribing to or purchasing any MedhyaShield service, you acknowledge and agree that all fees paid are final, non-refundable and non-transferable, except as expressly required by mandatory provisions of UAE law.
2Scope of Application
This policy applies to all payments made in connection with:
- Monthly subscription fees for Shield Complete or Shield Core plans.
- Annual subscription fees paid upfront for a twelve-month term.
- Professional services fees including penetration testing, compliance audits, advisory engagements and training.
- One-time setup, onboarding or configuration fees.
- Any add-on services, modules or capacity upgrades purchased during the subscription term.
3Rationale
MedhyaShield is an AI Powered Cybersecurity & Governance Platform that provisions dedicated resources, security monitoring infrastructure and personnel upon activation of your subscription. Service delivery commences immediately upon account provisioning and cannot be reversed. The no-refund policy reflects the nature of digital services where value is delivered continuously from the moment of activation and significant costs are incurred by the provider at the point of onboarding.
4Cancellation
You may cancel your subscription at any time by providing thirty (30) days written notice. Upon cancellation:
- Monthly subscribers: Your service will continue until the end of the current billing period. No refund will be issued for the remaining days of the current month.
- Annual subscribers: Your service will continue until the end of the twelve-month term. No refund or pro-rata credit will be issued for the remaining months of the annual term.
- Cancellation does not relieve you of the obligation to pay any outstanding invoices or fees accrued prior to the cancellation date.
5Downgrades
If you downgrade from Shield Complete to Shield Core or reduce the number of licensed employees during a subscription term, the change will take effect at the start of the next billing cycle. No refund or credit will be issued for the difference in fees during the current billing period.
6Service Disruptions
In the event of a material service disruption caused solely by MedhyaShield that exceeds the Service Level Agreement (SLA) commitments, we may, at our sole discretion, issue service credits towards future billing periods. Service credits are not cash refunds and cannot be redeemed for monetary payment. Service credits will not be issued where disruptions result from force majeure events, third-party service failures, customer misconfiguration or scheduled maintenance.
7Professional Services
Fees for professional services (penetration testing, compliance audits, advisory engagements) are due upon engagement and are non-refundable once work has commenced. If a professional services engagement is cancelled by the Customer before commencement, a cancellation fee of fifty percent (50%) of the quoted amount will apply to cover resource allocation and scheduling costs.
8Exceptions
Refunds will only be considered in the following limited circumstances:
- Where a refund is mandated by a final, non-appealable order of a competent UAE court.
- Where a mandatory provision of UAE consumer protection law requires a refund and cannot be contractually excluded.
- Where MedhyaShield has charged you in error due to a verified billing system malfunction (limited to the erroneous amount only).
In all cases, any refund will be processed within thirty (30) business days to the original payment method.
9Chargebacks and Disputes
If you initiate a chargeback or payment dispute with your bank or card issuer without first contacting MedhyaShield to resolve the matter, we reserve the right to immediately suspend your account, pursue recovery of the disputed amount plus any fees incurred, and terminate your subscription without further notice.
10Acknowledgement
By completing your subscription purchase or engaging professional services, you expressly acknowledge that you have read, understood and agreed to this No Refund Policy. You confirm that you are aware that all payments are final and that you waive any right to a refund except as expressly stated in Section 8 above.
11Governing Law
This policy is governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising from this policy shall be subject to the exclusive jurisdiction of the competent courts of the UAE.
